Terms and Conditions

By using exniv.com, requesting a demo, or accessing the Exniv product, you agree to these Terms and the Privacy Policy. If you use Exniv for a company, you confirm you have authority to bind that company.

If there is a signed order form or subscription agreement, that contract controls if it conflicts with these website Terms.

Exniv is a multi-tenant SaaS operations platform. Modules may include projects, HRM, finance, expenses, CRM, files, credentials, analytics, events, CMS, QR, and WhatsApp / Comms Hub. Features depend on the customer's licensed modules.

We may change or discontinue features with reasonable notice where practical.

The marketing site is informational. It is not a binding offer of specific pricing unless we issue a written quote or order form.

You must provide accurate account information and keep credentials confidential. Each customer company is a tenant. Tenant data is isolated from other tenants. Customer admins are responsible for inviting users, assigning roles, and revoking access.

You must not probe, disrupt, or attempt to access another tenant's data.

The customer retains rights in the business data they upload. Exniv may host, process, backup, and display that data only to provide the service.

The customer is responsible for having a lawful basis to store employee, customer, and messaging data in Exniv, including WhatsApp opt-in.

If the customer connects WhatsApp through Embedded Signup or related Meta flows:

• The customer must comply with Meta's WhatsApp Business terms, Commerce Policy, and messaging rules (including opt-in / STOP).
• The customer, not Exniv, owns the WhatsApp Business Account relationship with Meta, except where Exniv acts as tech provider to connect the Cloud API.
• Exniv may suspend WhatsApp features if Meta or law requires it, or if use looks abusive.
• Message delivery depends on Meta; Exniv does not guarantee delivery.

No unlawful content, spam, malware, scraping at abusive scale, or use of Exniv to send unsolicited WhatsApp messages. No reverse engineering except where local law allows.

Paid plans are billed as agreed in an order form or invoice. Unless stated otherwise, fees are exclusive of taxes. Late or failed payment may suspend access.

Exniv owns the platform, branding, and documentation. Customers own their data. Feedback may be used to improve the product without obligation.

We aim for reasonable uptime but do not warrant uninterrupted service. Maintenance, Meta outages, and internet failures can cause downtime.

The service is provided "as is" except for warranties that cannot be excluded by law. Exniv is not a substitute for professional legal, tax, or HR advice. Output (including AI-assisted features, if any) must be checked by the customer.

To the extent allowed by law, Exniv is not liable for indirect, incidental, or lost-profit damages. Direct liability is capped at fees paid by that customer to Exniv in the 12 months before the claim (or a small fixed amount if no fees were paid).

This does not limit liability for death or personal injury caused by negligence, fraud, or anything that cannot be limited under applicable law.

The customer will defend Exniv against claims arising from customer data, the customer's WhatsApp messaging, or the customer's misuse of the service.

Either party may terminate as set out in the order form. We may suspend or terminate for material breach, non-payment, or legal risk. After termination, customer data is deleted or exported according to the contract and Privacy Policy.

These Terms are governed by the laws of India, and courts of [city to confirm] have exclusive jurisdiction, except that Exniv may seek injunctive relief anywhere.

We may update these Terms by posting a new version. Continued use after the update date constitutes acceptance, except where local law requires extra notice.
